Special Meeting Minutes for October 18, 2023
Clearwater Cay Community Development District
A special meeting of the Board of Supervisors of the Clearwater Cay Community Development District was scheduled in order to hold a closed session for discussion of strategy with District Attorneys on pending litigation, and was held on Wednesday, October 18, 2023 at 5:30 p.m. at the Grand Venezia Baywatch Clubhouse at 2704 Via Murano in Clearwater, Florida 33764.
Present and constituting a quorum were:
Don Dwyer – Chair
Patrick O’Malley – Vice Chair
Alan Glidden – Assistant Secretary
Paul Gordon Feaster – Assistant Secretary
Also present were:
Cal Teague – District Manager
Bruce Barnes – Attorney, Bruce Barnes P.A.

FIRST ORDER OF BUSINESS Call to Order and Roll Call
The meeting was called to order at 5:30 p.m., and Chair Dwyer called the roll. All Board members were present, except Supervisor Mellon who had resigned from his seat, effective on October 9, 2023. Also in attendance were Cal Teague, the District Manager, Bruce Barnes, Attorney, and a Court Reporter. The Board revised the agenda to add a Second Order of Business: Approval of the Agenda, and to add a Fifth Order of Business: Fiscal Year 2023 Budget Amendment.
SECOND ORDER OF BUSINESS Approval of the Agenda
The Board approved adding a last minute handout, a Fiscal Year 2023 Budget Amendment, to be considered under Agenda Item 5.
On MOTION by Vice Chair O’Malley, seconded by Supervisor Feaster, with all in favor, the Board approved the amended agenda, and the addition of a Fiscal Year 2023 Budget Amendment for consideration during Agenda Item 5.
THIRD ORDER OF BUSINESS Closed Session for Discussion with District Attorneys on Pending Litigation: US Bank Trust Company National Association v. Clearwater Cay Community Development District civil action no 8:23-cv-00835-MSS-SPF
Chair Dwyer opened the closed session at 5:32 p.m.
Chair Dwyer closed the closed session at 6:33 p.m.
FOURTH ORDER OF BUSINESS Board Motions for Action from Closed Session
There were none.
FIFTH ORDER OF BUSINESS Fiscal Year 2023 Budget Amendment
The District Manager had presented a Fiscal Year 2023 Budget Amendment along with Resolution 2024-01 to approve it, as required to rebalance the Fiscal Year 2023 budget to account for actual expenditures and revenues.
On MOTION by Vice Chair O’Malley, seconded by Supervisor Feaster, with all in favor, the Board approved Resolution 2024-01 Fiscal Year 2023 Budget Amendment.

There were no comments.
SEVENTH ORDER OF BUSINESS Adjournment
The special meeting was adjourned by Chair Dwyer at 6:37 p.m.
