Audit Committee Meeting Minutes for November 19, 2020
Clearwater Cay Community Development District
The meeting of the Board of Supervisors of the Clearwater Cay Community Development District was held on Thursday November 19, 2020 at 5:00 p.m. at the Grand Venezia Baywatch Clubhouse on 2704 Via Murano in Clearwater, Florida 33764 and via web conference.
Present (or attending via web conference) and constituting a quorum were:
Patrick O’Malley – Vice Chair
Alan Glidden – Assistant Secretary
Steve Whitehurst – Assistant Secretary
Michael Herd – Assistant Secretary
Also present (or attending via web conference) were:
Cal Teague – District Manager
Dan Molloy – Attorney
Christopher Dudak – Assistant to the District Manager
Nancy Dudak – Premier District Management (PDM)

FIRST ORDER OF BUSINESS Call to Order and Roll Call
The meeting was called to order and Cal Teague, District Manager, called the roll. All Board members were present, except Don Dwyer. Also present were Dan Molloy, Attorney, Christopher Dudak, Assistant to the District Manager, and Nancy Dudak, Premier District Management (PDM).
SECOND ORDER OF BUSINESS Audit Committee
A. Review Proposals
The District Manager reviewed the process of the Audit selection. Only two out of six of the auditors responded to the request for service, Grau & Associates (who did the audit in the past), and Berger, Toombs, Elam, Gains & Frank. The Board read the reviews and were asked to issue points based on the criteria, which included the Ability of Personnel, their Experience, their Understanding of Scope of Work, their Ability to Furnish the Required Services and their Price.
- Vice Chair O’Malley awarded 100 points to the Berger group and 75 points to the Grau group.
- Supervisor Herd awarded 100 points to the Berger group and 50 points to the Grau group.
- Supervisor Glidden awarded 95 points to the Berger group and 93 points to the Grau group.
- Supervisor Whitehurst voiced agreement with the Board.
B. Develop Recommendations
The Board discussed why they prefer Berger, Toombs, Elam, Gains & Frank to do the audit.
On MOTION by Supervisor Glidden, seconded by Supervisor Herd, to recommend Berger, Toombs, Elam, Gains & Frank to conduct the Fiscal Year 2020 audit. All were in favor.
THIRD ORDER OF BUSINESS Audience Comments
Steve Whitehurst and Alan Glidden took their oaths to serve on the Board of Supervisors for the Clearwater Cay Community Development District.
FOURTH ORDER OF BUSINESS Adjournment
There being no further business,
On MOTION by Supervisor Herd, seconded by Supervisor Glidden, with all in favor, the meeting was adjourned at 5:20 p.m.
